PRIVATE PEER-TO-PEER VEHICLE RENTAL AGREEMENT
State of North Carolina
This Private Vehicle Rental Agreement ("Agreement") is entered into on the date of the booking through the Rydo website by and between SILK ROAD TRADERS LLC dba Rydo (Host / Owner) and the guest making the car booking reservation collectively referred to as the "Parties."
1. Vehicle: The vehicle selected and booked by the guest on the Rydo website.
2. Rental Period: The rental start date/time and end date selected and booked by the guest on the Rydo website. The rental period does not end until the vehicle has been returned, inspected, and accepted by the Host.
3. Rental Charges: Rental Rate per day as displayed on the Rydo website agreement and receipt after the booking. Security Deposit required for the specific vehicle selected and booked on the Rydo website. The security deposit may be applied toward Vehicle damage, Missing equipment, Fuel shortages, Excessive cleaning, Unpaid tolls, Parking or traffic violations, Late return charges, and any other amounts due under this Agreement. Unused portions of the deposit shall be returned within 3 business days after the vehicle is returned, less any lawful deductions.
4. Authorized Driver: Only the Renter listed in this Agreement may operate the vehicle unless the Owner provides prior written authorization. The Renter represents that he or she holds a valid driver's license, is legally authorized to operate a motor vehicle, has no suspension or revocation of driving privileges.
5. Permitted Use: The vehicle shall only be used for lawful personal transportation. The Renter shall not drive while impaired, race the vehicle, use the vehicle off-road, tow without permission, transport illegal substances, commit any criminal offense, operate the vehicle for rideshare or commercial delivery services unless authorized, allow any unauthorized driver to operate the vehicle, or take the vehicle outside the United States without written permission.
6. Mileage: Included mileage is 200 miles per rental day. Additional mileage will be charged $1 per mile.
7. Fuel: Vehicle shall be returned full. If the fuel level is not full at pickup, guest must notify the Host before leaving with the vehicle. Failure to return with the agreed fuel level will result in reimbursement for fuel plus a service fee of $10.
8. Smoking and Pets: Smoking and vaping are prohibited inside the vehicle. Pets are allowed however excessive cleaning may result in a cleaning fee of $100.
9. Insurance: The Renter acknowledges that:
- The Owner's personal automobile insurance may not provide coverage during this rental
- The Renter is responsible for maintaining any insurance required by law or desired for protection
- The Renter assumes responsibility for all losses not covered by insurance
10. Accidents: If an accident occurs, the Renter shall contact emergency services when appropriate, notify law enforcement when required, notify the Owner immediately, cooperate with all insurance investigations, preserve evidence and photographs when practical, and not admit liability on behalf of the Owner.
11. Damage Responsibility: The Renter is responsible for damage occurring during the rental period, including but not limited to collision damage, tire damage, wheel damage, glass damage, interior damage, theft caused by negligence, mechanical damage caused by misuse. Normal wear and tear is excluded.
12. Maintenance: The Owner certifies the vehicle is in safe operating condition when delivered. The Renter agrees to stop operating the vehicle if unsafe, notify the Owner immediately of warning lights or mechanical problems, obtain approval before authorizing repairs exceeding $100 unless necessary to prevent additional damage or address an emergency affecting safety.
13. Prohibited Conduct: The vehicle shall not be used on racetracks, for speed contests, off-road, to transport hazardous materials, while under the influence of alcohol or drugs, for any unlawful purpose and by any unauthorized driver. Violation of this section constitutes a material breach of this Agreement.
14. Tolls, Citations, and Fees: The Renter is solely responsible for parking tickets, speeding citations, red-light camera citations, toll charges, towing fees, storage fees. Administrative processing fee of $25 per violation.
15. Late Return: Late fee of $10 per hour. Maximum daily late fee of $80. Failure to return the vehicle within 2 hours after the agreed return time without the Owner's written approval may constitute unauthorized possession and may be reported to law enforcement as permitted by North Carolina law.
16. Owner's Right to Recover Vehicle: The Owner may immediately recover possession of the vehicle if the Agreement is materially breached, the vehicle is abandoned, the vehicle is used unlawfully, and the vehicle is not returned as agreed. The Renter remains responsible for reasonable recovery expenses to the extent permitted by law.
17. Assumption of Risk, Release of Liability, Waiver of Claims, and Indemnification: The Renter acknowledges that operating a motor vehicle involves inherent risks, including the risk of property damage, bodily injury, death, and other losses. The Renter voluntarily assumes all risks associated with the possession, operation, and use of the Vehicle during the Rental Period. To the fullest extent permitted by North Carolina law, the Renter accepts full responsibility for all claims, liabilities, damages, injuries, losses, costs, expenses, judgments, settlements, attorney's fees, and other obligations arising out of or related to the Renter's possession, operation, or use of the Vehicle during the Rental Period, including claims arising from any collision or accident, regardless of which party is alleged to be at fault.
The Renter agrees to defend, indemnify, and hold harmless the Owner and the Owner's agents, heirs, representatives, successors, and assigns from and against any and all claims, demands, lawsuits, damages, liabilities, losses, costs, and expenses, including reasonable attorney's fees and court costs, arising out of or relating to the Renter's possession, operation, or use of the Vehicle during the Rental Period, including claims asserted by passengers, pedestrians, other motorists, insurers, governmental entities, or other third parties.
To the fullest extent permitted by North Carolina law, the Renter knowingly, voluntarily, and expressly releases, waives, and forever discharges the Owner from any and all claims, causes of action, liabilities, damages, or demands arising out of or related to the Renter's use or operation of the Vehicle during the Rental Period, including claims arising from any collision or accident, whether based on negligence, contract, statute, or any other legal theory.
The Renter further agrees not to initiate, maintain, or participate in any lawsuit, arbitration, claim, crossclaim, counterclaim, or other legal proceeding against the Owner arising from or relating to any collision, accident, injury, death, or property damage occurring during the Rental Period, except to the extent that such waiver is prohibited or unenforceable under applicable North Carolina law.
The Renter acknowledges that this release and waiver was a material condition of the Owner's agreement to rent the Vehicle and that the rental would not have occurred without the Renter's acceptance of these provisions.
Nothing in this Agreement shall be construed to waive, release, or limit any claim or liability that cannot lawfully be waived under North Carolina law, including claims arising from the Owner's gross negligence, willful or wanton misconduct, intentional misconduct, fraud, or any other liability that applicable law prohibits from being waived or disclaimed.
18. Vehicle Condition Report: Photographs taken before and after the rental are incorporated into this Agreement.
19. Vehicle Return: The vehicle shall be returned on time, reasonably clean, with all keys, with all accessories, with the agreed fuel level, without new damage other than normal wear and tear.
20. Default: Upon default, the Owner may pursue any remedy available under North Carolina law, including recovery of unpaid rental charges, repair costs, recovery expenses, attorney's fees where authorized by law or contract, and any other recoverable damages.
21. Governing Law: This Agreement shall be governed by the laws of the State of North Carolina. Any dispute, claim, or controversy arising out of or relating to this Agreement, including its interpretation, performance, breach, or termination, shall be resolved exclusively through binding arbitration administered by the American Arbitration Association in accordance with its applicable Commercial Arbitration Rules. The arbitration shall take place in the State of North Carolina, and North Carolina law shall govern this Agreement and the arbitration proceedings, without regard to its conflict of laws principles. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
22. Entire Agreement: This Agreement constitutes the complete understanding between the Parties and supersedes all prior oral or written agreements concerning the rental.
23. Amendments: Any amendment must be in writing and signed by both Parties.
24. Severability: If any provision of this Agreement is determined to be unenforceable, the remaining provisions shall remain in full force and effect to the fullest extent permitted by law.
25. Electronic Signatures: Electronic signatures and electronically transmitted copies shall be deemed originals and shall be enforceable to the fullest extent permitted by law.
26. Identity Verification: The Renter represents and warrants that all information provided to the Owner is true, accurate, complete, and current. Prior to taking possession of the Vehicle, the Renter shall provide:
- A valid government-issued driver's license.
- Proof of current address upon request.
- Proof of insurance, if required by the Owner.
- A current payment method acceptable to the Owner.
The Owner may photograph or electronically verify the Renter's identification and may refuse to release the Vehicle if identity cannot be reasonably verified. The Renter shall immediately notify the Owner if his or her driver's license becomes suspended, revoked, expired, or otherwise invalid before or during the Rental Period.
27. Payment Authorization: The Renter authorizes the Owner to charge any payment method provided by the Renter for amounts due under this Agreement, including but not limited to rental charges, security deposit, vehicle damage, mechanical damage caused by misuse, fuel shortages, cleaning fees, smoking remediation, towing expenses, administrative fees, toll charges, parking citations, traffic violations to the extent permitted by law, collection costs and any other charges authorized under this Agreement. The Owner shall provide an itemized statement of post-rental charges upon request. If payment is declined, the unpaid balance shall immediately become due.
28. GPS and Telematics Disclosure: The Renter acknowledges that the Vehicle may be equipped with GPS location services, remote disabling technology where legally permitted, electronic diagnostic systems, odometer reporting, speed reporting, trip history, vehicle health monitoring, and theft recovery technology. Information collected may be used to recover the vehicle, verify mileage, investigate accidents, investigate theft, protect the owner's property, comply with legal obligations, and enforce this Agreement. The Owner shall not use location information for purposes unrelated to this Agreement except as required by law or with the Renter's consent.
29. Privacy: The Owner shall maintain reasonable safeguards for personal information collected during the rental process. Information may be disclosed only to insurers, to law enforcement, to governmental agencies when legally required, to attorneys or collection agencies, to courts, as otherwise permitted or required by law. The Owner will not knowingly sell the Renter's personal information except as permitted by applicable law.
30. Vehicle Modifications: The Renter shall not install accessories, remove parts, apply decals or wraps, smoke or vape inside the vehicle, disable GPS or safety systems, tamper with the odometer, modify software or electronics, perform repairs without authorization, alter the appearance of the vehicle. Any unauthorized modification constitutes a material breach of this Agreement. The Renter shall pay all costs required to restore the Vehicle to its prior condition.
31. Roadside Assistance: Unless otherwise agreed in writing, roadside assistance is not included in the rental price. The Renter is responsible for arranging and paying for roadside services resulting from running out of fuel, locking keys inside the vehicle, flat tires caused by road hazards or negligence, dead battery caused by the Renter, towing required because of misuse or negligence. Mechanical failures not caused by the Renter shall be reported immediately to the Owner before repairs are authorized.
32. Dispute Resolution and Arbitration: Except where prohibited by applicable law, any dispute arising out of or relating to this Agreement shall first be submitted to good-faith informal negotiations. If the dispute cannot be resolved within thirty (30) days, either Party may require that the dispute be resolved through binding arbitration administered by a mutually agreed arbitration organization in North Carolina. The arbitrator shall have final authority to award any remedy available under applicable law. Judgment upon the arbitration award may be entered in any court having jurisdiction.
33. Attorney's Fees: To the extent permitted by North Carolina law, the prevailing Party in any legal proceeding or arbitration arising from this Agreement shall be entitled to recover reasonable attorney's fees, court costs, arbitration fees, investigation expenses, and other recoverable litigation costs as determined by the court or arbitrator.
34. Electronic Communications: The Parties consent to communicate electronically by email, text message, electronic signature platform, or other mutually agreed electronic means. Electronic notices shall be deemed received upon transmission unless the sender receives notice that delivery failed. Electronic copies of this Agreement shall have the same force and effect as original documents.
35. Force Majeure: Neither Party shall be liable for delays or failure to perform caused by events beyond reasonable control, including Natural disasters, Floods, Hurricanes, Tornadoes, Fires, Civil unrest, Terrorist acts, Government orders, Pandemics, Utility failures, and Widespread communication failures. If such an event substantially prevents performance, either Party may terminate the rental upon written notice. Amounts accrued before termination remain payable.
36. Damage Claims Procedure: The Parties agree that photographs and videos of the Vehicle taken immediately before delivery and immediately after return constitute primary evidence of the Vehicle's condition. If damage is discovered, the Owner shall provide the Renter with Photographs of the damage, A written description, Repair estimates or invoices when available, Documentation supporting any claimed loss of use, if applicable. The Renter shall have five (5) calendar days after receiving written notice to dispute the claim in writing. Failure to dispute within that period may be considered acceptance of the documented damages, subject to applicable law. The Owner may obtain one or more repair estimates from qualified repair facilities. The Owner may elect to repair the Vehicle or accept monetary compensation for the documented diminution in value or repair costs where permitted by law. Nothing in this section limits either Party's rights under applicable insurance policies or North Carolina law.
37. Survival: The provisions relating to payment obligations, indemnification, releases, dispute resolution, attorney's fees, privacy, damage claims, and any obligations that by their nature should continue after termination shall survive the expiration or termination of this Agreement.
